Terms of Service

SellWiki connects buyers and sellers of collectibles through a transparent online auction platform. We charge a 4.5% buyer's premium and a 6.25% seller commission, and we handle payments securely through Stripe. By creating an account or placing a bid, you agree to these terms in full.

1. Introduction & Acceptance

SellWiki Operations (referred to in these terms as SellWiki, we, us, or our) operates an online auction marketplace accessible at www.sellwiki.live and associated subdomains (the Platform). These Terms of Service govern every interaction you have with the Platform, whether as a visitor, a registered user, a buyer, or a seller.

By creating an account, browsing listings, placing a bid, or listing a lot for sale, you signify that you have read, understood, and agree to be bound by these terms, together with our Privacy Policy, Cookie Policy, and Fees & Commissions schedule, each of which is incorporated by reference. If you do not agree, you must not use the Platform.

These terms constitute a legally binding agreement between you and SellWiki. Where we use the term you or your, we mean the individual accessing the Platform or, where relevant, the legal entity on whose behalf that individual is acting. These terms are written in English; in the event of a conflict between a translated version and the English text, the English text controls.

2. Definitions

The following defined terms appear throughout these terms. Defined terms are capitalised on first substantive use.

  • Platform — the SellWiki website, mobile-optimised web application, and all associated APIs and services.
  • User — any individual who accesses the Platform with or without a registered account.
  • Buyer — a User who places a bid on or purchases a Lot.
  • Seller — a User who lists a Lot for sale on the Platform.
  • Lot — an individual item or group of items offered for sale through the Platform.
  • Bid — a formal offer by a Buyer to purchase a Lot at a stated price.
  • Hammer Price — the highest Bid accepted at the close of an auction, being the price at which the sale contract is formed (before any Buyer's Premium).
  • Reserve Price — the minimum Hammer Price at or above which the Seller is obligated to sell. The Reserve Price is not disclosed to Buyers.
  • Buyer's Premium — the 4.5% service fee charged to the Buyer on top of the Hammer Price, calculated as a percentage of the Hammer Price.
  • Seller Commission — the 6.25% service fee deducted from the Hammer Price prior to payout to the Seller.
  • Order — the transaction record created when an auction closes with the highest Bid at or above the Reserve Price.
  • Live Auction — an auction in which the lot is actively accepting Bids within its designated end time.
  • Stripe — Stripe, Inc. and its European affiliates (Stripe Payments Europe, Limited), our third-party payment processor and the provider of Stripe Connect for seller payouts.
  • Stripe Connect — the Stripe service enabling direct payouts to Seller bank accounts after successful sales.
  • Proxy Bid — a maximum Bid amount submitted by a Buyer in advance, with the Platform automatically incrementing on the Buyer's behalf up to that maximum.

3. Account Eligibility & Registration

To register for an account you must be at least 18 years of age and have the legal capacity to enter into binding contracts under the law of your country of residence. The Platform is not directed at minors, and we do not knowingly collect personal data from individuals under 18. If we discover that an account belongs to a minor, we will terminate it without notice.

When registering you must provide your legal name, a valid email address, and any other information requested during the registration flow. You represent that all information you provide is accurate, complete, and current, and you agree to update it promptly if anything changes. You may hold only one personal account; operating multiple accounts to circumvent restrictions or gain unfair bidding advantages is prohibited and will result in termination of all associated accounts.

Email verification is required before you may place a Bid or list a Lot. Sellers must additionally complete identity verification through Stripe Connect Express, including submission of government-issued identification and banking details, as required by applicable anti-money-laundering and know-your-customer regulations. SellWiki does not store raw identity documents; these are processed and held by Stripe in accordance with Stripe's own privacy policy.

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@sellwiki.live if you suspect unauthorised access to your account. SellWiki is not liable for any loss arising from your failure to keep credentials secure.

4. Role of SellWiki

SellWiki operates solely as a marketplace facilitator. We provide the technology, infrastructure, and services that enable Sellers to list Lots and Buyers to discover and bid on them. We are not a party to any sale contract concluded between a Buyer and a Seller through the Platform. The sale contract is formed directly between the Buyer and the Seller at the moment an auction closes with the Hammer Price at or above the Reserve Price.

SellWiki does not own, possess, inspect, or store any Lot prior to or during the period of sale. All representations about condition, authenticity, provenance, and title are made solely by the Seller, not by SellWiki. Sellers warrant by listing a Lot that they have the right to sell it, that descriptions and photographs accurately represent the actual item, and that the Lot is genuine and not counterfeit. SellWiki does not provide independent authentication unless explicitly stated in the Lot listing.

Disputes arising from the quality, condition, authenticity, or delivery of a Lot are primarily a matter between the Buyer and the Seller. SellWiki provides a mediation service (see the Buyer Protection Policy) and may, at our sole discretion, facilitate a resolution by releasing or withholding held funds, but we are not the arbiter of authenticity and we do not guarantee the outcome of any dispute. Our mediation decisions do not prevent either party from pursuing legal remedies.

5. Lot Listings

Sellers are entirely responsible for the accuracy and completeness of their Lot listings. Each listing must include: a truthful written description of the item's condition, provenance where known, and any material defects; photographs of the actual item being sold (not stock images or manufacturer photographs unless also included alongside actual photographs); and all information that a reasonable Buyer would consider material to their decision to bid.

Sellers may not list the following categories of items on the Platform:

  • Counterfeits, replicas presented as originals, or items whose authenticity the Seller cannot verify
  • Items subject to product recall or withdrawal from sale by a regulatory authority
  • Illegal goods of any kind under the laws of Italy or the Seller's country of residence
  • Weapons, firearms, ammunition, or parts thereof, except where all applicable licensing requirements are met and pre-approved by SellWiki in writing
  • Live animals, animal parts from protected species, or items derived from endangered species where their trade is prohibited under CITES
  • Human remains or body parts
  • Items restricted by EU sanctions or export control regulations
  • Hazardous materials, including items containing asbestos, lead paint in actionable quantities, or controlled substances

SellWiki reserves the right to remove any Lot listing at any time, for any reason or no reason, without prior notice, and without liability to the Seller. We may also decline to publish a listing before it goes live. In Phase 1 of the Platform, no listing fee is charged; sellers pay only a Seller Commission on successful sales. This fee structure may change with 30 days' notice.

6. Auction Mechanics

Every auction on the Platform has a Starting Price, which is the minimum Bid accepted. The Starting Price is publicly displayed. Where a Seller has set a Reserve Price, that price is hidden from Buyers; the Platform will indicate only whether the current Bid has met the Reserve Price. A Seller sets the Reserve Price at the time of listing and may not lower it below the Starting Price.

Bids are incremented by minimum amounts that scale with the current Bid level, as follows: €0–€49: €1 minimum increment; €50–€199: €2; €200–€499: €5; €500–€999: €10; €1,000–€4,999: €25; €5,000 and above: €100. The Platform enforces these increments automatically. Buyers may submit a Proxy Bid, which is the maximum amount they are willing to pay. The Platform will bid on the Buyer's behalf in minimum increments up to the Proxy Bid amount. The Proxy Bid amount is never disclosed to other Buyers or to the Seller.

To prevent last-second sniping, the Platform employs an anti-snipe extension: if a Bid is placed within the final 5 minutes of an auction, the auction end time is automatically extended by 5 minutes from the time of that Bid. Extensions continue to apply for each subsequent Bid in the final period. An auction will not end while Bidding is actively occurring in the final window.

A Bid is a binding offer to purchase the Lot at the stated Bid amount.Once placed, a Bid cannot be retracted except in exceptional circumstances (such as a demonstrable typographical error resulting in a Bid substantially above intended level), and only with SellWiki's express approval requested before the auction closes. When an auction concludes with the highest Bid at or above the Reserve Price, a sale contract is formed immediately between the Buyer and the Seller at the Hammer Price. SellWiki will notify both parties by email.

7. Payment Terms — Buyers

Upon winning an auction, the Buyer is required to complete payment within 72 hours (3 days) of the auction close notification. The total amount due is the Hammer Price plus the Buyer's Premium of 4.5% of the Hammer Price. For example, on a Hammer Price of €100, the Buyer pays €104.50. All charges are in euros (EUR); if you have opted to display prices in USD within your account settings, the EUR amount remains binding.

Payment is processed exclusively through Stripe. Accepted payment methods include major credit and debit cards (Visa, Mastercard, American Express), SEPA Direct Debit (for EU bank accounts), and Apple Pay or Google Pay where supported by your device and browser. SellWiki does not accept payment by bank transfer, cheque, or cash. Card details are entered directly into Stripe's hosted payment fields and are never transmitted to or stored by SellWiki.

Funds paid by the Buyer are held in Stripe's connected-account infrastructure and are not released to the Seller's Stripe account until the Platform authorises the release, typically after the dispute window has passed or buyer confirmation is received. During any open dispute, funds remain held in accordance with the Buyer Protection Policy.

Three-day payment window and second-chance offers. If payment is not received within 72 hours (3 days)of the auction close, SellWiki will automatically cancel the Order. The Lot is no longer reserved to the original Buyer and may, at SellWiki's discretion, be offered to the next-highest bidder at their last bid price as a Second-chance Offer. The recipient of a Second-chance Offer is under no obligation to accept; if they decline (or do not pay within 72 hours of the offer being made), the Lot may be re-offered down the bid ladder or returned to the Seller. Reminder e-mails are sent at 24h and 48h after the auction close, and a cancellation notice is sent at 72h.

Failure to pay within 72 hours will additionally result in automatic suspension of bidding privileges and may result in permanent account termination. Repeat non-payment may result in civil recovery proceedings for any costs incurred by the Seller as a direct result of the Buyer's failure to complete the purchase.

8. Payment Terms — Sellers

SellWiki deducts a Seller Commission of 6.25%of the Hammer Price from the funds collected before remitting the balance to the Seller. For a Hammer Price of €100, the Seller receives €93.75. The Buyer's Premium (4.5%) is collected separately from the Buyer and is not deducted from the amount due to the Seller. Stripe payment processing fees are absorbed by SellWiki from our margin and are not additionally charged to the Seller.

Payouts to Sellers are processed through Stripe Connect Express. Sellers must maintain an active, verified Stripe Connect Express account to receive payouts. Stripe's standard payout schedule applies, which is typically 7 days after the payment from the Buyer clears, subject to Stripe's own risk and compliance requirements. Sellers may adjust their payout schedule within the Stripe Express dashboard, subject to Stripe's available options. SellWiki does not control Stripe's payout timelines; delays caused by Stripe's processes are not SellWiki's responsibility.

Sellers are solely responsible for all tax obligations arising from their sales, including but not limited to income tax, VAT, and any customs or import duties applicable to shipped goods. SellWiki provides transaction summaries through the Seller dashboard for record-keeping purposes, but does not provide tax advice and is not liable for any tax assessments, penalties, or interest arising from a Seller's failure to comply with applicable tax law.

9. Buyer Protection

SellWiki operates a Buyer Protection scheme covering two primary circumstances: (a) a Lot that materially differs from its listing description, including significant undisclosed condition issues, wrong item shipped, or missing components that were explicitly stated as included; and (b) non-delivery of a Lot within 30 days of the Buyer's payment clearing.

Buyers must report a claim within 14 days of delivery confirmation, or within 30 days of payment in the event of non-delivery. Claims are submitted through the Order details page on the Platform. Full procedural details, including the evidence submission process, decision timelines, and possible outcomes, are set out in the dedicated Buyer Protection Policy.

The existence of the Buyer Protection scheme does not limit any statutory consumer rights that may apply to you under the laws of your country of residence, nor does it limit the Seller's liability for fraudulent misrepresentation.

10. Refunds, Returns & Cancellations

All auction sales are finalexcept in the following circumstances: (a) the Seller fails to deliver the Lot within a reasonable time; (b) the Lot received materially differs from the listing description in a way that would have been material to the Buyer's decision to bid; or (c) the Lot is demonstrated to be counterfeit or to have been listed without the Seller holding valid title.

The 14-day right of withdrawal conferred on consumers by the EU Consumer Rights Directive (2011/83/EU) does not apply to sales made at public auction where consumers have the opportunity to attend in person, pursuant to Article 16(k) of that Directive. SellWiki's auction format falls within this exemption: bidders participate in a competitive, time-limited bidding process with full awareness of competing bids. This exemption applies specifically to collectibles and unique items sold through our auction mechanism. By registering to bid, you acknowledge that you understand and accept this limitation on your withdrawal rights.

Where a refund is approved under the Buyer Protection scheme, it will be processed to the original payment method. Refund processing times are governed by Stripe and by your card issuer; SellWiki does not control the timing of funds appearing in your account after a refund is initiated. Sellers bear full responsibility for return shipping costs where a refund is granted because the Lot was materially different from its description or was counterfeit.

11. Prohibited Conduct

The following conduct is strictly prohibited on the Platform and constitutes grounds for immediate account termination, withholding of pending payouts pending investigation, and, where applicable, referral to law enforcement authorities:

  • Shill bidding — placing Bids on your own Lots, whether personally or through associates, to artificially inflate the price.
  • Bid retraction without cause — withdrawing a Bid after placement other than in circumstances permitted under Section 6.
  • Listing prohibited items — offering for sale any item in the categories described in Section 5.
  • Off-platform circumvention — using contact information obtained through the Platform to complete a transaction outside the Platform, with the intent to avoid SellWiki's commission or the Buyer's Premium.
  • Automated bidding agents — using scripts, bots, or other automated systems to place Bids, other than through SellWiki's own Proxy Bid feature.
  • Scraping and data harvesting — systematically downloading or extracting Platform data, User information, or Lot data through automated means without SellWiki's prior written consent.
  • Harassment — threatening, abusing, or harassing any other User, SellWiki staff, or third party in connection with the Platform.
  • Misrepresentation — providing false information in listings, account registration, identity verification, or any communication with SellWiki.

12. Account Suspension & Termination

SellWiki may suspend or permanently terminate any account, with or without prior notice, where we reasonably believe that: the account holder has violated these terms; continued access poses a risk to the Platform, other Users, or SellWiki; we are required to do so by applicable law or a lawful order; or the account has been inactive for 36 consecutive months following the notification procedure described in our Privacy Policy.

Where an account is suspended pending investigation, any active Lot listings will be paused. Bids placed by a suspended Buyer prior to suspension remain valid unless and until the suspension results in account termination, in which case those Bids are voided. Funds held at the time of suspension — whether buyer payments awaiting payout or seller payouts awaiting release — will be held for a period of 90 days pending the outcome of any investigation or dispute.

You may appeal a suspension or termination decision by contacting legal@sellwiki.live within 30 days of receiving notice of the decision. We will review appeals in good faith and respond within 14 business days. An appeal does not automatically reinstate account access pending review.

You may close your account voluntarily at any time through the account settings page, subject to completing any pending transactions and resolving any outstanding disputes. Closure does not extinguish any obligations that have already accrued.

13. Intellectual Property

The SellWiki name, logo, wordmark, and all proprietary content on the Platform — including but not limited to the curation methodology, editorial copy, user-interface design, and software — are the intellectual property of SellWiki Operations and are protected by applicable copyright, trademark, and database rights. Nothing in these terms grants you any licence to use SellWiki's intellectual property except as expressly stated herein.

By submitting photographs, descriptions, or other content in a Lot listing, you grant SellWiki a worldwide, royalty-free, non-exclusive, sublicensable licence to reproduce, display, distribute, and adapt that content for the purposes of operating the Platform, marketing SellWiki's services, and archiving closed auctions. This licence persists after the Lot has sold or been removed, to the extent necessary to maintain auction records and for historical or legal compliance purposes. You retain full ownership of the photographs and written descriptions you create.

You represent that any content you submit does not infringe the intellectual property rights of any third party, and you agree to indemnify SellWiki against any claims arising from a breach of this representation.

14. Limitation of Liability

To the maximum extent permitted by applicable law, SellWiki's aggregate liability to you for any and all claims arising under or in connection with these terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total commissions and fees actually paid by you to SellWiki in the 12-month period immediately preceding the event giving rise to the claim.

SellWiki is not liable for any loss of profits, loss of revenue, loss of goodwill, loss of data, indirect, incidental, special, or consequential damages, even if we have been advised of the possibility of such damages. We are not liable for any loss arising from: the acts or omissions of Sellers or Buyers; delays in payment processing caused by Stripe or other third-party payment processors; or the unavailability of the Platform due to maintenance, technical failures, or circumstances beyond our reasonable control.

Nothing in these terms excludes or limits SellWiki's liability for: death or personal injury caused by SellWiki's negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under applicable law, including non-waivable consumer protection provisions that apply in Italy or in your country of habitual residence within the EU.

15. Indemnification

You agree to indemnify, defend, and hold harmless SellWiki Operations, its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to: your use of the Platform; your Lot listings, including any claim that a listed item infringes a third party's rights or is counterfeit; your Bids and the resulting obligations; your violation of these terms; or your violation of any applicable law or third-party right.

SellWiki reserves the right, at its own expense, to assume exclusive control of the defence of any matter subject to indemnification by you. You agree to cooperate with SellWiki's defence of those claims. You may not settle any claim that imposes any obligation on SellWiki without our prior written consent.

16. Disputes & Governing Law

These terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions. Nothing in this clause limits mandatory consumer protection rights you may have under the law of your country of habitual residence within the European Union.

Subject to the paragraph above, any dispute that cannot be resolved through SellWiki's internal complaint process shall be submitted to the exclusive jurisdiction of the courts of Milan, Italy. If you are a consumer habitually resident in another EU member state, you may also be entitled to bring proceedings in the courts of your country of residence pursuant to applicable EU consumer law.

Before initiating formal legal proceedings, we encourage you to contact us at support@sellwiki.live to seek an informal resolution. For eligible disputes, the European Commission's Online Dispute Resolution (ODR) platform is available at ec.europa.eu/consumers/odr. SellWiki is registered with the relevant ADR entity and will participate in mediation in good faith, though we are not obligated to follow any outcome unless required by applicable law.

17. Changes to Terms

SellWiki reserves the right to modify these terms at any time. For material changes — meaning changes that affect your rights or obligations in a substantive way — we will provide at least 30 days' prior notice by email to your registered address and by displaying a prominent notice on the Platform homepage. Non-material changes (such as corrections of typographical errors, clarifications of existing provisions, or updates required by changes in applicable law) may take effect immediately upon publication.

Your continued use of the Platform after the expiry of the notice period for material changes constitutes your acceptance of the revised terms. If you do not accept the revised terms, you must stop using the Platform before the effective date of the change and may close your account in accordance with Section 12.

For formal legal notices, including notices required under these terms, please write to legal@sellwiki.live. Legal notices sent by email are valid on receipt of a delivery confirmation. For notices required to be sent by post, the address is: SellWiki Operations, c/o [Registered Agent TBD], Italy.

If you have a complaint about how SellWiki has handled a dispute or a concern about the Platform, please escalate it to support@sellwiki.live with the subject line “Formal Complaint”. We will acknowledge your complaint within 5 business days and provide a substantive response within 20 business days.
